What is AMC?

Adam Aron publicly condemned tokenized AMC stock in vivid terms.

“I find this practice to be contemptable, outrageous, disgusting, despicable. It's vile. How can this possibly be legal?”

Tokenized stocks on-chain today fall into one of four categories: actual on-chain equity (rare), an SPV holding real shares, a swap replicating returns, or effectively nothing with no real backing.

“Conceptually it could be one of four things. It could be effectively stock right where AMC issues its own stock in tokenized forms. its ledger is maintained on the blockchain and someone buying an AMC stock token is just buying AMC directly on the blockchain. That doesn't really happen today, right? So that's like that is the dream but doesn't happen today. It could effective number two, it could be effectively an SPV. So I buy a thousand AMC shares, I put them in a pot and I issue exactly a thousand tokens against that pot. So each token represents an AMC share in the pot. Some people are now starting to do that. Three, it could effectively be a swap. So I issue a thousand tokens each representing an AMC share. You buy them Santi and now I owe you the return on a thousand AMC shares right so that's the third that's the swap and it could effectively be nothing which I think in many cases is the case.”

Robinhood's AMC tokenized product is structured as a debt security in offshore markets, not as a direct equity token, undermining the narrative that it represents genuine stock ownership.

“They have issued this sort of debt security as you mentioned in offshore markets where people can trade them.”
